Axial Success Fee Credit Program Terms and Conditions

Success Fee Credit Issuance

Members will earn Success Fee Credits equal to 50% of the success fee paid at closing. These credits will be issued to the member’s account upon receipt of the full fee payment, which must be made simultaneously with the closing of the transaction or within the 5 business day grace period.

Credit Utilization

Provided the Member is in good standing and has not violated the Axial Member Terms of Service in any way, the Member can apply up to 50% of their Success Fee Credit balance towards any future transaction fee obligation. The amount of credit applied to any single transaction cannot exceed 50% of that individual fee obligation.

Credit Expiration

Success Fee Credits have a 5-year life from the date of issuance. Credits not utilized within this timeframe will expire and be removed from the member’s account.

Credit Transferability

Members can use Success Fee Credits with legal affiliates of their existing member account. However, credits cannot be used with unaffiliated new entities without the prior written consent of Axial.

Credit Eligibility

Credits are earned and issued exclusively on fee payments that are made in accordance with the Axial Terms of Service and the Member’s Membership Agreement. Axial, in its sole discretion, will determine Credit Eligibility on a deal-by-deal basis. 

The following forms of fee payments do not qualify for Success Fee Credits:

• Late payments
• Payments made on transactions that were not self-reported by members

Credit Forfeiture

Members forfeit their Success Fee Credits for any violation of the Axial Member Terms of Service.

Program Changes

Axial reserves the right to change the Member Success Fee Program at any time without prior notice. This includes, but is not limited to, changes to credit issuance rates, utilization rules, and expiration policies.
